Malta companies are set up in accordance with the Companies Act of 1995. The Act distinguishes between a private limited liability company and a public limited liability company. In general, a limited liability company is one where the personal responsibility of shareholders is limited to the amount, if any, unpaid on the shares held. All companies are required to have two shareholders, although a special type of private limited liability company may be set up as a single-member company (this is referred to as an exempt company). A private liability company has to have at least Eur1,200 of share capital with a minimum of 20% paid up. On the other hand, a public liability company has to have at least Eur1,200 of share capital with a minimum of 20% paid up. In both cases, the said capital may be denominated in any currency.
